BY USING OR ACCESSING THE SITE, YOU ACKNOWLEDGE THAT YOU: HAVE READ AND UNDERSTOOD THE TERMS OF USE; AND AGREE TO BE LEGALLY BOUND BY THE TERMS OF USE. Thank you for reviewing these terms of use (“Terms of Use”), which create a legal agreement between you (“You” or “User”) and ICU StoryWeb. (“ICU StoryWeb”, “we”, “us” or “our”) with respect to the use of the Site accessible online at www.icustoryweb.org. The Site is operated from the United States of America on behalf of ICU StoryWeb. If you choose to access the Site online from locations outside the U.S., such conduct is at your own risk and subject to the laws of the United States of America, and you are responsible for compliance with any local laws. You may not use or export anything (including information) from the Site in violation of U.S. export laws and regulations or these Terms of Use.
1. Using the Site
The primary purpose of the Site is to provide you the ability to access information and materials and share your personal stories, experiences, views, photographs and other personal information related to the end of life experiences of you or your loved ones. By providing any information or materials through the Site, you acknowledgde and agree to the Terms of Use.
Personal Use Only. You may use the information, features and functionality of the Site for personal use only, as permitted by these Terms of Use, and not for any unlawful purpose.
1.2 Accuracy of Information. You may only submit information that you have the right to submit. You agree that you are solely responsible for the information you submit through the Site. We are not responsible for any consequences arising from your or other persons’ reliance on the content posted on the ICU StoryWeb Site.
1.3 Compliance with Law. When using the Site, you must comply with the Terms of Use, all applicable laws, and other notices we provide.
1.4 Prohibited Behavior. You must not use the Site to do any of the following prohibited actions:
· Interfere with or disrupt the proper operation of the Site in any manner that may adversely affect ICU StoryWeb or any third parties;
· Bully, abuse, harass, stalk, demean, threaten or discriminate against others;
· Post, upload, publish, broadcast, stream, display, submit or transmit any text, words, statements, conversations, graphics, images, software, music, audio, video, information or other material that: (i) infringes, misappropriates or violates a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy; (ii) violates, or encourages any conduct that would violate, any applicable law or regulation or would give rise to civil liability; (iii) is fraudulent, false, misleading or deceptive; (iv) is defamatory, obscene, pornographic, sexually explicit, nude, vulgar or offensive; (v) promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group; (vi) is violent or threatening or promotes violence or actions that are threatening to any other person; or (vii) promotes illegal or harmful activities or substances;
· Discuss illegal activity, such as how to obtain or consume illegal drugs and how to make bombs;
· Ask for or offer sexually explicit images, and/or material harmful to children;
· Use, display, mirror or frame the Site, or any individual element within the Site, ICU StoryWeb’s name, any ICU StoryWeb trademark, logo or other proprietary information, or the layout and design of any page or form contained on a page, without ICU StoryWeb’s express written consent;
· Avoid, bypass, remove, deactivate, impair, descramble or otherwise circumvent any technological measure implemented by ICU StoryWeb or any of ICU StoryWeb’s providers or any other third party (including another user) to protect the Site, or content accessible on the Site;
· Send or broadcast any unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters or other form of solicitation;
· Use the Site for any commercial purpose or the benefit of any third party or in any manner not permitted by these Terms of Use;
· Forge any ICU StoryWeb packet header or any part of the header information in any email or newsgroup posting, or in any way use the Site to send altered, deceptive or false source-identifying information;
· Attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the Site;
· Interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Site;
· Collect or store any personally identifiable information from the Site from other users of the Site without their express permission;
· Impersonate or misrepresent your affiliation with any person or entity;
· Violate any applicable law or regulation;
· Encourage or enable any other individual to do any of the foregoing.
ICU StoryWeb has the right to investigate and seek appropriate remedies for any violations of any of the above to the fullest extent of the law. ICU StoryWeb may involve and cooperate with law enforcement authorities in prosecuting users who violate these Terms of Use. You acknowledge that ICU StoryWeb has no obligation to monitor your access to or use of the Site, or to review or edit any User-generated content, but has the right to do so for the purpose of operating the Site, to ensure your compliance with these Terms of Use, or to comply with applicable law or the order or requirement of a court, administrative agency or other governmental body. ICU StoryWeb reserves the right, at any time and without prior notice, to remove or disable access to any content, including any User-generated content that ICU StoryWeb, at its sole discretion, considers to be in violation of these Terms of Use or otherwise inappropriate or harmful to the Site.
1.5 Third Party Links. You may be able to access third-party websites or services via the Site. You acknowledge that we do not endorse and are not responsible for such websites or services or any content that may be available there.
1.6 Use of Trademarks. You will not use our trademarks or any confusingly similar marks, without our written permission. Please refer to Section 11 for more information.
1.7 Contacting ICU StoryWeb. Help us maintain a healthy and vibrant environment by reporting any illegal or inappropriate behavior to ICUStoryWeb@gmail.com. We always appreciate your feedback or other suggestions about ICU StoryWeb, but you acknowledge and agree that we may use them without any obligation to compensate you for them (just as you have no obligation to offer them).
2. Information You Provide
For content that is covered by intellectual property rights, like photos (“IP Content”), you specifically give us the following permission, subject to your privacy and application settings: You grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use any IP Content that you post on or in connection with the Site (the “IP License”). This IP License ends when you delete your IP Content unless such IP Content has been shared with others, and they have not deleted it.
When you delete IP Content, it is deleted in a manner similar to emptying the recycle bin on a computer. However, you understand that removed content may persist in backup copies for a reasonable period of time (but will not be available to others).
If you share content on the Site in a way that infringes on the rights of other individuals, including their publicity or privacy rights, you are breaching this contract. You represent and warrant that you have all the rights necessary for you to grant the rights in this Section 3 and the use of the content does not violate any law. We may remove your content from the Site at any time if you breach this contract or for other reasons in our sole discretion.
3. Our Operation of the Site
The Site operates for the benefit of ICU StoryWeb and its users. We retain the right to block or otherwise prevent delivery of any type of email or other communication to or from the Site as part of our efforts to protect the Site, protect our users, or stop you from breaching this contract. The technology or other means we use may hinder or break your use of the Site.
In order to provide you the Site, we may collect certain information about performance of the Site, your machine and your use of the Site. We may automatically upload this information from your machine. This data will not personally identify you. Please refer to the Privacy Policy for more information.
You acknowledge and agree that ICU StoryWeb is not a “covered entity” or “business associate” under the Health Insurance Portability and Accountability Act of 1996 and the regulations promulgated thereunder (collectively, “HIPAA”). As a result, HIPAA does not apply to our maintenance, use or disclosure of information collected through the Site.
4. How We May Change The Terms of Use
We may change the Terms of Use in our discretion by posting a new version of the Terms of Use. If you do not agree to the changes, you must stop using the Site. If you continue to use the Site, the new Terms of Use shall apply to you.
5. No Warranty
We provide the Site “as-is,” “with all faults” and “as available.” We don’t guarantee the accuracy or timeliness of information available from the Site. You acknowledge that computer and telecommunications systems are not fault-free and occasional periods of downtime occur. We do not guarantee the Site will be uninterrupted, timely, secure, or error-free, or that data loss will not occur. We and our affiliates and vendors give no express warranties, guarantees, or conditions. WE DISCLAIM ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING FOR MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE EFFORT, AND NON-INFRINGEMENT. YOU MAY HAVE CERTAIN RIGHTS UNDER YOUR LOCAL LAW. NOTHING IN THESE TERMS OF USE IS INTENDED TO AFFECT THOSE RIGHTS, IF THEY ARE APPLICABLE.
ICU StoryWeb does not endorse or warrant Programs and devices that connect with ICU StoryWeb, such as Facebook or Twitter.
The information provided by the Site is provided for User’s general information only. ICU StoryWeb does not give medical advice or engage in the practice of medicine, and under no circumstances recommends a particular treatment, test, facility or medical provider for specific individuals and in all cases recommends that User consults User’s physician before pursuing any course of treatment or test.
6. Liability Limitation
NEITHER ICU STORYWEB NOR ANY PARTY INVOLVED IN CREATING, PRODUCING OR DELIVERING THIS SITE SHALL BE LIABLE FOR ANY DIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, INDIRECT, OR PUNITIVE DAMAGES ARISING OUT OF USERS’ ACCESS, USE, OR INABILITY TO USE THE SITE OR ANY WEBSITES LINKED TO THIS SITE, OR ANY ERRORS OR OMISSIONS IN THE CONTENT OF ANY OR ALL SUCH SITES WHETHER BASED ON WARRANTY, CONTRACT, TORT OR ANY OTHER LEGAL THEORY AND WHETHER OR NOT ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOU UNDERSTAND AND ACKNOWLEDGE THAT YOUR SOLE AND EXCLUSIVE REMEDY WITH RESPECT TO ANY DEFECT IN OR DISSATISFACTION WITH THE SITE IS TO CEASE TO USE THE SITE. THE LIMITATIONS AND EXCLUSIONS ALSO APPLY IF THIS REMEDY DOES NOT FULLY COMPENSATE YOU FOR ANY LOSSES OR FAILS OF ITS ESSENTIAL PURPOSE OR IF WE KNEW OR SHOULD HAVE KNOWN ABOUT THE POSSIBILITY OF THE DAMAGES. SOME OR ALL OF THESE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU IF YOUR STATE, PROVINCE, OR COUNTRY DOES NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL, CONSEQUENTIAL, OR OTHER DAMAGES.
7. Changes to the Service and Cancellation
We may change the Site or delete features at any time and for any reason. We may cancel or suspend your access to the Site at any time. Our reasons for cancellation may include that we stop providing the Site in your region or that you breach the Terms of Use or fail to sign in to the Site over a period of time. If your ICU StoryWeb access is canceled, your right to use the Site stops immediately. The sections of these Terms of Use that, by their terms, apply after termination of this contract will survive any termination of your right to use the Service.
8. General Legal Terms
8.1 Interpreting the Contract . All provisions of these Terms of Use apply to the maximum extent permitted by relevant law. If a court holds that we cannot enforce a part of the Terms of Use as written, you and we will replace those terms with similar terms to the extent enforceable under the relevant law, but the rest of the Terms of Use will remain unchanged. This is the entire agreement between you and us regarding the Site. It supersedes any prior agreement or oral or written statements regarding your use of the Site. The section titles included within the Terms of Use do not limit its terms.
8.2 Assignment . We may assign transfer, or otherwise dispose our rights and obligations under the Terms of Use, in whole or in part, at any time without notice. You may not assign or transfer any rights to use the Site.
8.3 No Third Party Beneficiaries. These Terms of Use are solely for your and our benefit. It is not for the benefit of any other person, except for permitted successors.
8.4 Claims . Claims must be filed within one year. You must bring any claim related to this contract or the Site within one year of the date you could first bring the claim, unless your local law requires a longer time to file claims. If it isn’t filed on time, the claim is permanently barred.
8.5 Notices . You may notify us as stated in the customer support or “help” area for the Site. The Terms of Use are in electronic form. We may send you, in electronic form, information about the Site, additional information, and information the law requires us to provide. We provide required information to you by e-mail at the e-mail address you specified. Notices emailed to you will be deemed given and received when the email is sent. If you don’t consent to receive notices electronically, you must stop using the Site.
8.6 Miscellaneous . If any provision of the Terms of Use is invalid or unenforceable under applicable law, then it is, to that extent, deemed omitted and the remaining provisions will continue in full force and effect. A waiver of a breach of any provision to these Terms of Use will not constitute a waiver of any other breach. The English version of the Terms of Use may be translated into other languages. In the event of any conflict or inconsistency between the English version and any other language version of the Terms of Use, the English version shall prevail to the extent of such conflict or inconsistency.
9. Applicable Law; Dispute Resolution
This Site and these Terms of Use (including without limitation the validity, construction and performance of duties related to the Terms of Use) will be governed by and construed in accordance with the laws of the United States of America and the laws of the Commonwealth of Pennsylvania without giving effect to any principles of conflicts of laws. We make no representation that materials or services included within the Site are appropriate or available for use outside the United States, and access to them from territories where their contents are illegal is prohibited. Venue with respect to any dispute (not subject to arbitration as provided below) between you and ICU StoryWeb will rest exclusively in the state or federal courts located in Pennsylvania, unless such venue would deprive you of any remedy, at law or in equity, which would otherwise be available in your state of residence.
You shall first contact us at ICUStoryWeb@gmail.com. regarding any claim or controversy arising out of or relating to these Terms of Use, or any breach thereof, or the use of the Site (including ICU StoryWeb’s privacy and security practices or adherence or non-adherence to its Privacy Policy with respect to the Site), except such claims or controversies for which injunctive relief is available, that cannot be resolved by mediation within 30 days shall be finally settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules including the Supplementary Procedures for Consumer-Related Disputes (collectively, “AAA Rules”), and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. The AAA Rules are available online at adr.org or by calling 1-800-778-7879. You agree that, by accepting these Terms of Use, you and ICU StoryWeb are each waiving the right to a trial by jury or to participate in a class action. These Terms of Use evidence a transaction in interstate commerce, and thus the Federal Arbitration Act governs the interpretation and enforcement of this provision.
Unless you and ICU StoryWeb agree otherwise, any arbitration hearings will take place in the county (or parish) of your residence. If the claim or controversy is for $10,000 or less, ICU StoryWeb agrees that you may choose whether the arbitration will be conducted solely on the basis of documents submitted to the arbitrator(s), through a telephonic hearing or by an in-person hearing as established by the AAA Rules. If the claim or controversy exceeds $10,000, the right to a hearing will be determined by the AAA Rules. Regardless of the manner in which the arbitration is conducted, the award of the arbitrator(s) shall be accompanied by a statement of the reasons upon which the award is based.
10. Copyright and Trademark
We or our suppliers or sponsors own all rights, title and interest in certain copyrights, trademarks and other intellectual property rights in connection with the Site and content. All rights are reserved.
You acknowledge and agree that the content and materials available on the Site, including without limitation all text, graphics, user interfaces, visual interfaces, photographs, logos, taglines, audio and video media, artwork, design, structure, selection, coordination, expression, “look and feel” and the arrangement thereof, are protected by copyrights or other proprietary rights and laws. Among other things, this means you must not sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, compile or create derivative works from such content or materials except as expressly provided in these Terms of Use. You acknowledge and agree that the unauthorized use of the contents and materials on the Site could cause irreparable harm to ICU StoryWeb and that in the event of such unauthorized use, ICU StoryWeb shall be entitled to an injunction in addition to any other remedies available at law or in equity.
The names of actual companies and products may be the trademarks of their respective owners. From time to time, we may use fictitious names, companies, organizations, products, domain names, e-mail addresses, logos, people, places and events for illustrative purposes only. In such cases, no association with any real ICU StoryWeb user, organization, product, domain name, e-mail address, logo, person, places or events is intended or should be inferred. Any rights not expressly granted in this contract are reserved.

ICU StoryWeb (“Site” or “ICU StoryWeb Site”) accessible at www.icustoryweb.org (collectively, the “ICU StoryWeb Site”), is operated from the United States of America on behalf of ICU StoryWeb (“ICU StoryWeb,” “we,” “us” and “our”). It is our policy to protect your personal information and to use it in accordance with this Privacy Policy. The ICU StoryWeb Site includes a personal information platform that lets you share on the Site your stories, preferences, experiences, photographs and other information relating to end of life conversations and life-sustaining treatment decisions in the intensive care unit (ICU). Please review the Terms of Use for complete information regarding the ICU StoryWeb Site.
2. Acceptance of Privacy Policy
Please read this Privacy Policy carefully. We want you to understand what information we collect from you when you use the ICU StoryWeb Site and whether and to whom we share such information with others. Using the ICU StoryWeb Site is voluntary, and by accessing or using the ICU StoryWeb Site, you: acknowledge that you have read and understood this Privacy Policy; agree that your access and use of the ICU StoryWeb Site are subject to the Privacy Policy; and consent to our collection and use of your Non-Personal and Personally Identifiable Information as described in this Privacy Policy, as updated or revised from time to time. Cookies are small bits of data cached or stored on your computer based on Internet activity. We may use cookies including third party provided analytics cookies, such as from Google Analytics to monitor individual activity in aggregate to improve the Site and provide features that are tailored to your needs, including delivery of customized content and advertising. When you use the ICU StoryWeb Site, several types of data may be collected from you, including: (1) Non-Personal Information; and (2) Personally Identifiable Information. We do not knowingly collect or store any personal information from children.
4.1 Non-Personal Information
We receive data about you whenever you interact with the Site, such as when you visit the Site, listen to or read someone else’s story, or search for resources. We receive data from the computer, mobile phone or other device you use to access the ICU StoryWeb Site. This may include your IP address, location, the type of browser you use, or the pages you visit. We receive data whenever you visit a program that sends data to ICU StoryWeb. This may include the date and time you visit the site; the web address or URL you’re on; technical information about the IP address, browser and the operating system you use; and, if you’re logged in to the ICU StoryWeb Site, your user login.
This information (collectively, “Non-Personal Information”) does not, by itself, personally identify users. We use this Non-Personal Information to monitor the effectiveness of the ICU StoryWeb Site, to help personalize your online experience and to consider potential improvements to the ICU StoryWeb Site. Non-Personal Information may be collected through cookies. For more detailed information on cookies, please refer to the “Use of Cookies” section above.
4.2 Personally Identifiable Information
a. Information relating to “sharing your story” and/or having the conversation:
By using the ICU StoryWeb Site, we may collect information that, either alone or in combination with other information, can be used to uniquely identify, contact or locate you (collectively, “Personally Identifiable Information,” or “PII”). The PII that you may elect to share, include, without limitation, your first name, age, gender, conversation details (for the “share your story” section), photo and email address, as well as any other PII ” you choose to upload, including credit card or other financial information, that you voluntarily disclose if and when you decide to make a donation to ICU StoryWeb online. By providing such information, you consent to our collection, disclosure and use of it, as described in this Privacy Policy. Information that you share on the Site [except for credit card information] will be visible to all users and others who access the Site and other third-party sites, such as social media and networking sites to which you choose to post your information.
b. Transactional Information. We will collect the following Personally Identifiable Information about you in connection with your request to make an on-line donation:

credit card information: type of credit card, name on card, credit card number, validation number and its expiration date. (“Transactional Information”).
Once the online donation is submitted in an encrypted format to our third party processing agent for payment processing we do not retain your credit card
information on our Site. If you wish to make another donation in the future you will need to re-enter this information. In order to comply with reporting,
tax and other applicable laws, we retain for archival purposes your name, contact information and donation amount. However, we maintain the privacy and
security of this information as described below.
4.3 Links to Social Networks
a. Posting or sharing your ICU StoryWeb information to social networks sites:
Before you choose to share your information collected on the Site to third-party social media and networking sites, such as Facebook, Twitter, youTube, or other social networks (each, an “SNS”), you should evaluate the security and privacy commitments offered by each SNS. PLEASE NOTE THAT YOUR RELATIONSHIP WITH EACH SNS, INCLUDING YOUR RIGHTS WITH RESPECT TO ANY CONTENT THAT YOU PROVIDE TO AN SNS AND THE STORAGE OF SUCH CONTENT, IS GOVERNED SOLELY BY THE PRIVACY POLICY AND YOUR AGREEMENT(S) WITH SUCH SNS.
5. No Personal Information from Children.
ICU StoryWeb does not knowingly collect personal information from children under the age of 18. Children are not permitted to use the Site, and we request that children under the age of 18 not submit any personal information through the Site. If you are under 18, you may not use the Site. Parents and guardians are advised that any personal information voluntarily entered by children may be available for public access. If your child has submitted personal information, please contact us to request that such information be removed. Once we are aware of information entered by a child, we will exercise commercially reasonable efforts to remove such information from our databases and storage areas; however, we are not liable for any consequences relating to such information.
6. Our Use of Your Information
We use the information we receive about you in connection with the ICU StoryWeb Site and features we provide to you. For example, we may use the information we receive about you as part of our efforts to send you information related to ICU StoryWeb.
6.1 Use of Non-Personal Information
We use the Non-Personal Information collected through the ICU StoryWeb Site for statistical purposes and for improving the functionality of the ICU StoryWeb Site. This information may also be used to administer your participation in the ICU StoryWeb Site including, without limitation, to troubleshoot and resolve problems with the ICU StoryWeb Site.
6.2 Use of Personally Identifiable Information
We use PII collected through the ICU StoryWeb Site for purposes of customizing your user experience, providing relevant information, and communicating with you regarding relevant news or events. If you do not want to receive any newsletters, promotional or marketing materials or other information about the ICU StoryWeb Site, unsubscribe at any time by simply clicking the ‘unsubscribe’ link that we include at the bottom of every email that we send you. The ICU StoryWeb Site will also send you an email summarizing recent account activity. If you do not want to receive these emails, you can unsubscribe at any time.
6.3 Use of Aggregate Data
We may use your PII (which has been anonymized) to create aggregate data. This aggregated information is not associated with any individual. ICU StoryWeb may use aggregated information from the ICU StoryWeb Site and its users to improve the quality of the ICU StoryWeb Site, for marketing of the ICU StoryWeb Site, and for public health and research purposes.
7. Disclosures of Your Information
We may, on occasion, hire other companies to provide limited services on our behalf. In those limited cases, we give those companies only the personal information they need to deliver the services, such as IP address or e-mail address. ICU StoryWeb’s practice is to require the companies to maintain the confidentiality of the information and to prohibit them from using the information for any other purpose.
